1. Introduction

Welcome to Manuvr Inc. ("Manuvr", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Manuvr website, mobile application, and any related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

The Platform connects learner drivers ("Students") with driving instructors ("Instructors") across Ontario, Canada. Manuvr acts as an intermediary platform and is not a party to any agreement entered into between Students and Instructors.

2. Definitions

  • "Student" means any individual who uses the Platform to search for, book, or communicate with an Instructor.
  • "Instructor" means any individual or entity that registers on the Platform to offer driving instruction services.
  • "User" means any individual who accesses or uses the Platform, including both Students and Instructors.
  • "Booking" means a confirmed arrangement between a Student and an Instructor made through the Platform.
  • "Service Fee" means the fee charged by Manuvr for the use of the Platform.

3. Eligibility

By using the Platform, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction.
  • You have the legal capacity to enter into a binding contract.
  • You are not located in a jurisdiction that is subject to sanctions or where use of the Platform would be prohibited by applicable law.
  • You will comply with all applicable laws and regulations when using the Platform.
  • All information you provide to Manuvr is accurate, current, and complete.

4. Accounts and Registration

To access certain features of the Platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Update your registration information promptly if it changes.
  • Notify us immediately of any unauthorized use of your account.
  • Not share your account credentials with any third party.

Manuvr reserves the right to suspend or terminate accounts that violate these Terms.

5. Services

5.1 For Students

Students can use the Platform to search for Instructors based on location, language, car type, availability, and other preferences. Once a Student selects an Instructor, they can schedule and confirm lessons through the Platform.

5.2 For Instructors

Instructors can create a profile, set their availability, define their service areas, and manage bookings through the Platform. Instructors represent and warrant that they hold all necessary licenses, certifications, and insurance required to provide driving instruction services in Ontario.

5.3 Platform Role

Manuvr is a technology platform that facilitates connections between Students and Instructors. Manuvr does not provide driving instruction services, does not employ Instructors, and is not responsible for the quality, safety, or legality of the instruction provided. The actual agreement for services is solely between the Student and the Instructor.

6. Fees and Payments

Manuvr charges a Service Fee for each completed Booking. The Service Fee is calculated as a percentage of the lesson price or a flat fee as disclosed at the time of booking. Payment processing is handled by our third-party payment processor. By using the Platform, you agree to:

  • Pay all fees and charges associated with your use of the Platform.
  • Provide valid payment information.
  • Authorize Manuvr to charge your chosen payment method for all fees incurred.
  • Be responsible for all applicable taxes.

7. Cancellations and Refunds

Cancellation and refund policies are determined by the Instructor and communicated at the time of booking. Manuvr may, at its sole discretion, issue refunds or credits in cases of verified technical errors or exceptional circumstances. Students and Instructors agree to resolve any cancellation or refund disputes in good faith.

8. User Conduct

All Users agree to:

  • Use the Platform only for its intended purpose of connecting Students with Instructors.
  • Not engage in any fraudulent, misleading, or unlawful activity.
  • Not harass, abuse, or harm any other User.
  • Not interfere with the proper functioning of the Platform.
  • Not attempt to circumvent the Platform's booking or payment systems.
  • Not scrape, copy, or reproduce any content from the Platform without our written permission.
  • Not use the Platform for any commercial purpose other than as expressly permitted.

9. Intellectual Property

The Manuvr Platform, including its design, content, code, trademarks, trade dress, and underlying technology, is proprietary to Manuvr Inc. and is protected by copyright, trademark, and other intellectual property laws. Users may not:

  • Copy, reproduce, distribute, or create derivative works based on the Platform.
  • Use any Manuvr trademarks or logos without prior written permission.
  • Reverse engineer, decompile, or disassemble any aspect of the Platform.
  • Remove any copyright or proprietary notices from the Platform.

10. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Manuvr Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to:

  • Your use or inability to use the Platform.
  • Any act or omission of any Instructor or Student.
  • Any injury, loss, or damage resulting from driving instruction services.
  • Any unauthorized access to or alteration of your data.
  • Any other matter relating to the Platform or services provided through it.

Manuvr's total liability for any claim arising out of these Terms shall not exceed the total Service Fees paid by the User in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. MANUVR INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Platform will be uninterrupted, error-free, or secure.
  • Warranties regarding the quality, safety, or legality of any services provided by Instructors.
  • Warranties regarding the accuracy or reliability of any information on the Platform.

13. Indemnification

You agree to indemnify, defend, and hold harmless Manuvr Inc., its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your interaction with any Instructor or Student.
  • Any content you submit to the Platform.

14. Term and Termination

These Terms remain in effect as long as you use the Platform. Manuvr may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination:

  • Your right to access and use the Platform immediately ceases.
  • You remain liable for any fees or charges incurred before termination.
  • Sections 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Disclaimer of Warranties), and 12 (Indemnification) survive termination.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the laws of the Province of Ontario. The arbitration shall take place in Brampton, Ontario. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

16. Modifications to Terms

Manuvr reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Manuvr Inc. regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals.

21. Acknowledgment

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT MANUVR INC. IS A TECHNOLOGY PLATFORM PROVIDER AND IS NOT A PARTY TO ANY AGREEMENT BETWEEN STUDENTS AND INSTRUCTORS.
